Novipro reserves the right to amend these Terms and Conditions, as well as to modify or remove certain features of Novipro's websites. Additional or different Terms and Conditions and notifications may apply to specific documents, information, products, software, or services offered through Novipro's websites. We will notify you of any changes to the documents related to these Terms and Conditions by email or through a notification on Novipro's websites. In the event of changes to the documents, we may terminate this agreement within 30 days of sending the email or publishing the notification. Your continued use of Novipro's websites after the date of modification shall constitute acceptance of the amended Terms and Conditions or agreement, as applicable. These Terms and Conditions encompass the Community Participation Terms of Use, as well as the general conditions outlined in the Community Participation Terms of Use, incorporated herein by reference. These Terms and Conditions, along with any additional terms you agree to when using specific components of Novipro's websites, constitute the complete, exclusive, and definitive statement of the agreement between you and Novipro regarding the subject matter herein and supersede any prior agreements or negotiations between you and Novipro concerning the subject matter herein. These Terms and Conditions and the relationship between you and Novipro are governed by Quebec Law 25 in accordance with agreements made and wholly performed in Quebec by residents of Quebec. Any dispute arising from these Terms and Conditions or your use of Novipro's websites, or related thereto, falls under the jurisdiction of the courts of Quebec, Canada, and you hereby consent to the exclusive personal jurisdiction of these courts in this matter. Novipro's failure to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such rights or provisions. In the event that any provision of these Terms and Conditions is declared null and void by a competent court, you agree that the court shall endeavor to give effect to Novipro's and your intentions as reflected in that provision, and the remaining provisions of these Terms and Conditions shall remain in full force and effect. These Terms and Conditions remain in effect notwithstanding the termination of your use of Novipro's websites. These Terms and Conditions are construed without bias in favor of Novipro or yourself. These Terms and Conditions and all rights and licenses granted hereunder may not be transferred or assigned by you, but Novipro may assign them without restriction.
TRADEMARKS
No Novipro employee or other representative is authorized to grant permission to use Novipro Trademarks or provide guidance on their use, except when they are the subject of a formal written agreement. Therefore, any promise or statement regarding Novipro Trademarks by a Novipro employee in the absence of a formal written agreement cannot be invoked.
The Novipro Trademarks hold significant value as intellectual property, and hence, Novipro takes the necessary measures to safeguard against dilution and the use of third-party marks that are highly similar to, or likely to be confused with, the Novipro Trademarks.
When an official written agreement grants a license for one or more of the Novipro Trademarks, and unless the agreement specifies an alternative authorization, usage shall be in accordance with the guidelines posted at the following address: [Insert the link to Novipro's trademark guidelines].
Novipro does not object to the use of Novipro Trademarks (excluding logos) when it specifically designates Novipro's products. However, purely referential or fair nominative use of Novipro Trademarks must be in plain text. It is advisable to consult a qualified legal advisor to distinguish referential use from unlawful use.
In Canada, registered Novipro Trademarks must be designated by the symbol '®,' while unregistered Novipro Trademarks should be identified by the designation '™.' Novipro Trademarks should be used as adjectives rather than as nouns or verbs.

- does not use the content from a Novipro website;
- does not use Novipro's logo;
- does not display a window containing a Novipro website;
- Does not falsely represent an affliliation or any other relationship with Novipro;
- does not create a false impression of possible endorsement by Novipro;
- does not contain content deemed illegal, distasteful, offensive, or controversial; and
- is promptly amended with the removal of the hyperlink at Novipro's request.

The content of Novipro's websites is subject to protection under Canadian copyright laws and applicable international laws. You are not authorized to copy or distribute any or all of Novipro's websites, except to the extent necessary to view Novipro's websites.
